All material is accepted by BLACK WHITE LEAFLETS DISTRIBUTION for door-to-door distribution is always subject to the following terms and conditions.
1. DEFINITIONS
In these terms and conditions, the following words and phrases shall have the meanings ascribed to them below:
“The Company” means Trade Name BLACK WHITE LEAFLETS DISTRIBUTION whose registered office is at 128 Old Church Road ,Chingford Mount ,London ,E4 8BX.
“Client” means the company, person or party detailed in the Quotation.
“Quotation” means the written Quotation or emailed electronically communicated quotation.
“Services” means the services detailed in the Quotation.
“Stock” means the Stock detailed in the Quotation.
1.1. Trading as is a trading name of BLACK WHITE LEAFLETS DISTRIBUTION hereafter is described as “the trade name”, “our” “us” or “we”.
1.2. The customer or customers listed on the Distribution request form &/or Client Account application hereafter described as “the customer”, “client” or “you”.
2. BLACK WHITE LEAFLETS DISTRIBUTION RESPONSIBILITIES
2.1 BLACK WHITE LEAFLETS DISTRIBUTION will use its reasonable endeavours to provide the Services in accordance with the Order.
2.2 BLACK WHITE LEAFLETS DISTRIBUTION
will provide confirmation of distribution to the client two hours after of completion of distribution in form of:

Original Google Black White Leaflets Distributors map + Royal Mail map postcode + Tracker History Report pdf , excel as calculated and recorded by our GPS tracking system used on our distribution team

3. DISTRIBUTION AND PRINTING
3.1 For distribution, the minimum order is 10,000 leaflets quantity.
Distribution will usually take place within 1 to 4 weeks Shared Drop of the specified campaign start date, to households within the maps or postcodes defined in the mutually agreed client’s order form. All reasonable efforts will be made to deliver to addresses within the area however the customer acknowledges and agrees that access to certain properties may be restricted, prevented, or circumstances make it unsafe to deliver to and as such, it is made clear that no guarantees are given or implied under standard service & the company does not imply 100% penetration of addresses within any such area.
3.2 BLACK WHITE LEAFLETS DISTRIBUTION SOLUS DROP warrants that it will use its reasonable endeavours to deliver its Client’s Promotional Material to the doorstep and or residential households to the addresses within the Royal Mail postcodes agreed between the Parties.
3.3 However BLACK WHITE LEAFLETS DISTRIBUTION is unable to guarantee that all Promotional Material will be delivered or that all addresses within the Location will receive Promotional Material.
3.4 We confirm that the maximum achievable penetration level will be eighty percent ( 80 %) for Solus Drop -Suburban and Rural Areas, and ninety to ninety-five ( 90- 95 %) for Solus Drop in Urban Areas.
3.5 The Client expressly accepts this limitation of the Services offered based on the extremely competitive nature of the Price for Solus Drop and the limited warranty given in this Condition 3.2, 3.3, 3.4
3.6 BLACK WHITE LEAFLETS DISTRIBUTION SHARED DROP warrants that it will use its reasonable endeavours to deliver its Client’s Promotional Material to the doorstep and or residential households to the addresses within the Royal Mail postcodes agreed between the Parties.
3.7 However, BLACK WHITE LEAFLETS DISTRIBUTION is unable to guarantee that all Promotional Material will be delivered or that all addresses within the Location will receive Promotional Material.
3.8 We confirm that the maximum achievable penetration level will be ninety to ninety-five ( 90%- 95 % ) for Shared Drop -Urban/ Suburban Area .
3.9 The Client expressly accepts this limitation of the Services offered on the basis of the extremely competitive nature of the Price for Solus Drop and the limited warranty given in this Condition 3.6 , 3.7 , 3.8
3.10 It is emphasised that there are number of specific reasons why an individual property might not receive an item:

The property in question may not have a letterbox or the letterbox may not be in the front door of the property.

If the property is multi occupancy ie; a converted house or block of flats it may not be possible to gain access to all separate occupancies in the residence. Sometimes due to security at the building it may not be possible to gain access to deliver any unaddressed material.

If there is a warning of a dog at the premises, BLACK WHITE LEAFLET DISTRIBUTION and or its delivery team will at its discretion assess whether an attempt to deliver to the property will be safe and/or possible.

If there is a notice at the property advising that the resident or residents do not wish to receive unaddressed material or the resident has written to BLACK WHITE LEAFLETS DISTRIBUTION or the Door Drop Preference Service (DPS) to the effect that they do not require unaddressed material to be delivered we will not deliver to that address

Delivery will not normally be made to obviously empty or derelict properties or where the access to the premises may be hazardous to the safety of our distribution team.

3.11 The ensured protection, health and safety of our distribution team shall be paramount and any potential distribution that shall be deemed by BLACK WHITE LEAFLET DISTRIBUTION as a potential hazard to our teams safety shall be excluded without any recourse for claim or liability by the client.
3.12 Printing quotations are based on the details provided by you, including thickness, size, and artwork supplied. Any alternations to artwork required are charged at fix rate of £100 .
All charges for print are excluded from the distribution quotes.
4. NUMBER OF CONSUMERS
4.1 The number of consumer or door to door distribution in each BLACK WHITE LEAFLETS DISTRIBUTION delivery round has been calculated using postcode information from the Royal Mail Postal Address File . Distribution is carried out, using UK postcodes and sectors.
4.2 The number of Delivery consumers however has been rounded up to achieve a maximum level of penetration.
5. PRICE & PAYMENT
5.1 The price for the Services shall be as set out in the Order and/or the quotation.
5.2 All prices are subject to VAT.
5.3 Unless otherwise agreed in writing, 100% of the invoice value including VAT is due before the provision of the Services.
5.4 If the Customer fails to make a payment due to BLACK WHITE LEAFLETS DISTRIBUTION under the contract by the due date, then, without limiting BLACK WHITE LEAFLETS DISTRIBUTION remedies under these conditions:

- The Customer shall pay interest on the overdue sum from the due date until payment of the overdue sum has been made, whether before or after judgment.
- Interest will accrue each day based at 5% APR above the Bank of England’s base rate from the time payment was due. If the Bank of England’s base rate is below 0% for any period, then a minimum of 5% shall be applied.
5.5 All amounts due under the Contract shall be paid in full without any set-off, counterclaim, deduction or withholding (other than any deduction or withholding of tax as required by law).
5.6 Unless the t/a BLACK WHITE LEAFLETS DISTRIBUTION agrees otherwise, the Client will pay in advance the Price, and it is their responsibility to ensure that the Company receives the funds before 2pm the day before the distribution date. If the payment has not been received in full, the distribution may automatically be stopped.
6. COMPLAINTS
6.1 Complaints relating to non-performance of the Live GPS Services Distribution quality of 80% for Solus Drop or 90% to 95% Shared Drop coverage Royal Mail maps must be made in writing by the Customer within 1 business day of the performance date of the Services as set out in the Order, complaints received after this time will not be considered.
6.2 Where notification of a complaint is received within 1 business day BLACK WHITE LEAFLETS DISTRIBUTION will undertake to investigate the matter and resolve the complaint to both parties’ satisfaction within 2 business days.
6.3 In the event that, after investigation, it is proven the complaint is unsubstantiated, BLACK WHITE LEAFLETS DISTRIBUTION has the right to claim the expenses involved in the investigation from the Customer.
6.4. The following conditions must be met for complaints relating to non-delivery of leaflets , booklets.
(a) You have followed the complaints procedure.
(b) There is clear evidence that your campaign was not delivered.
(c) A sample of 1-10 households ( consumers) is not sufficient evidence for non-delivery claims. To constitute a sufficient sample to ascertain completion, a minimum of 5% of households ( consumers) throughout the entire distribution area must be verified by Customer only. Checks conducted later than 12 -24 hours after the distribution of the leaflets to that area will have a significantly lower chance of a positive response and, therefore, cannot be accepted. Letterbox counts provided to clients or in writing are an estimation and should not be considered as actual quantities. We use various agencies, including Royal Mail, to estimate the number of letterboxes within postcode sectors and specific geographical areas. As a result, BLACK WHITE LEAFLETS DISTRIBUTION has been rounded up to achieve a maximum level of penetration.
If the Client publishes or distributes defamatory or derogatory information about BLACK WHITE LEAFLETS DISTRIBUTION without following the due course of the complaint’s procedures, the contract between BLACK WHITE LEAFLETS DISTRIBUTION and the Client will become void, and the full cost of the campaign will be charged in cancellation fees. Outlined in clauses
6.5 All reports from BLACK WHITE LEAFLETS DISTRIBUTION are based on own GPS data. Which sometimes is unavailable due unforeseen issues with network or signal coverage.

7. CANCELLATION
7.1 Once a contract has been confirmed by the client either by telephone, post or electronic means, arrangements will be established with our distribution network for the distribution to take place in accordance with timescales agreed between BLACK WHITE LEAFLETS DISTRIBUTION and the client.
The client can choose to cancel the Contract at any time, subject to these cancellation charges:

With more than ninety (90) days prior to the first day of distribution: cancellation will be free of charge.

With sixty (60) days left prior to the first day of distribution a 50% cancellation fee shall be applied with a minimum of £150+Vat to be applicable.

Any cancellation request made with less than sixty (60) days left prior to the first day of distribution shall be liable for 100% cancellation to be applied with a minimum of £150+VAT to be applicable.

The Company can, by giving the client notice, cancel a distribution under the agreement, or end the agreement altogether without giving notice, if:
-
- The client fails to pay any charges due by the date they are due.
- The client’s bank refuses or chooses not to honour your cheque or direct debit payment.
- Or the client breaks any terms and conditions in a significant way and fails to put the matter right despite us having given you notice to do so.
The Company can end the agreement, after giving you notice, if:

- You become bankrupt or unable to pay your debts.

You pass a resolution for winding up your business, or a court makes an order to wind up the business (other than for the purpose of reorganising your business);
-
A receiver, manager or an administrator is appointed over any or all your assets; or you make any arrangement with or for the benefit of your creditors.

We can, at any time and without having any liability to you, cancel a distribution under the agreement, or end the agreement altogether, after giving you three months’ notice in writing. You can cancel a delivery or end the agreement at any time by writing to us. However, you will still have to pay any cancellation charges you owe us under the agreement.
7.2 Where a cancellation is accepted by BLACK WHITE LEAFLETS DISTRIBUTION the material must be collected by the client from the office to which it has been sent or a transport charge will be made for returning the material to the client.
7.3 If the material is not collected from the relevant BLACK WHITE LEAFLETS DISTRIBUTION office within one calendar month of the cancellation date the material will be recycled, and the Client will be liable and charged for one month’s storage.
7.4 If it becomes necessary for BLACK WHITE LEAFLETS DISTRIBUTION to cancel a contract, subject to the circumstances concerned the material will be returned to the client’s premises by BLACK WHITE LEAFLETS DISTRIBUTION.
8. EXTERNAL INFLUENCES
8.1 You agree that if we are not able to, or refuse to, carry out our duties under the agreement for any period due to circumstances outside our control, including, but not limited to:

- Fire
- Flood
- Riot
- Public disturbance
- Sabotage
- Natural disasters
- Industrial action
- Snow
that we will not have any liability to you for any loss or damage you suffer as a result. Black White Leaflets Distribution will in its best endeavours attempt to reschedule the delivery at its earliest convenience. It is understood that BLACK AND WHITE LEAFLETS is also not liable to the client for any difficulty obtaining suitable Personnel or difficulty procuring performance by Personnel of obligations they have undertaken We will make reasonable attempts to give you notice ofcircumstances outside our control and take whatever steps are reasonably practical to limit the effects those circumstances have on the distribution, and how long those effects last.
9 BRITISH CODES OF ADVERTISING
9.1 All material is accepted for distribution only on the basis that it meets the conditions of the British Codes of Advertising.
10. GOVERNING LAW
10.1 These Terms and Conditions shall be governed by and construed in accordance with English law and the parties hereto agree that the English Courts shall have exclusive jurisdiction.
